TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and International Real Estate - REALTORres ("REALTORres", "Company", "we", "us", "our"), governing your access to and use of the website located at https://www.realtorres.org (the "Site"), including all content, functionality, services, and products offered on or through the Site.
By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Site. Your continued use of the Site following the posting of any changes to these Terms constitutes acceptance of those changes.
This Agreement applies to all visitors, users, and others who access or use the Site, whether or not you register for an account. By using the Site, you represent and warrant that you have the legal capacity to enter into this binding agreement.
2. USER ELIGIBILITY
2.1 Age Requirements
You must be at least 18 years of age to use the Site or the age of legal majority in your jurisdiction, whichever is greater. By using the Site, you represent and warrant that you meet these age requirements. If you are under the required age, you may not use the Site under any circumstances.
2.2 Legal Capacity
You represent and warrant that: (a) you have the legal capacity and authority to enter into these Terms; (b) you are not legally prohibited from accessing or using the Site under the laws of the jurisdiction in which you reside or from which you access the Site; (c) you will comply with all applicable local, state, national, and international laws, statutes, ordinances, and regulations in connection with your use of the Site.
2.3 Business Entities
If you are using the Site on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms shall refer to both you as an individual and the entity you represent.
2.4 Geographic Restrictions
The Site is operated from the United States and is intended for users located within the United States and internationally where legally permitted. We make no representation that the Site or its content is appropriate or available for use in all locations. Those who access the Site from other jurisdictions do so at their own initiative and are responsible for compliance with local laws.
3. USER ACCOUNTS AND REGISTRATION
3.1 Account Creation
To access certain features of the Site, you may be required to register for an account. When creating an account, you must provide accurate, current, and complete information and maintain and promptly update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You are fully responsible for all activities that occur under your account. You agree to: (a) immediately notify REALTORres of any unauthorized use of your account or any other breach of security; (b) ensure that you exit from your account at the end of each session; (c) not share your account credentials with any third party.
REALTORres will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may be held liable for losses incurred by REALTORres or another party due to someone else using your account as a result of your failure to maintain account security.
3.3 Account Accuracy
You warrant that all information provided during registration and throughout your use of the Site is truthful, accurate, current, and complete. Providing false, inaccurate, outdated, or incomplete information may result in immediate termination of your account and legal action.
4. PERMITTED USE AND LICENSE
4.1 Limited License
Subject to your compliance with these Terms, REALTORres grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal or internal business purposes related to real estate transactions and services. This license does not include any right to: (a) resell or make commercial use of the Site or its content; (b) collect and use property listings, descriptions, or pricing information; (c) make derivative uses of the Site or its content; (d) download or copy account information for the benefit of another party; (e) use data mining, robots, or similar data gathering and extraction tools.
4.2 Permitted Activities
You may use the Site to: (a) search for and view international real estate listings; (b) contact real estate agents and brokers; (c) obtain information about properties and real estate markets; (d) communicate with other users as permitted by the Site's functionality; (e) access educational content and resources related to real estate transactions; (f) utilize tools and calculators provided on the Site.
4.3 International Transactions
Users acknowledge that international real estate transactions involve complex legal, financial, tax, and regulatory considerations that vary by jurisdiction. REALTORres provides a platform for connecting parties but does not provide legal, financial, or tax advice. Users are strongly encouraged to consult with qualified professionals in relevant jurisdictions before entering into any international real estate transaction.
5. PROHIBITED CONDUCT
You agree not to engage in any of the following prohibited activities:
5.1 Legal Violations
(a) Violating any applicable local, state, national, or international law, statute, ordinance, or regulation;
(b) Engaging in any activity that constitutes fraud, money laundering, or other illegal financial activities;
(c) Violating any anti-discrimination laws or fair housing regulations;
(d) Using the Site to facilitate any illegal transaction or activity.
5.2 Site Integrity and Security
(a) Attempting to gain unauthorized access to any portion of the Site, other users' accounts, or computer systems or networks connected to the Site;
(b) Using any automated system, including but not limited to "robots," "spiders," or "offline readers," to access the Site;
(c) Transmitting any viruses, worms, defects, Trojan horses, or any items of a destructive nature;
(d) Interfering with or disrupting the Site or servers or networks connected to the Site;
(e) Attempting to probe, scan, or test the vulnerability of the Site or any associated system or network or breach security or authentication measures.
5.3 Content Violations
(a) Uploading, posting, or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
(b) Posting false, inaccurate, misleading, or fraudulent content, including property information;
(c) Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
(d) Uploading or transmitting content that you do not have the right to transmit under any law or contractual relationship;
(e) Posting content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
5.4 Misuse of Services
(a) Using the Site for any unauthorized commercial purpose;
(b) Soliciting other users for commercial purposes unless expressly permitted;
(c) Harvesting or collecting email addresses or other contact information of other users;
(d) Posting or transmitting unsolicited advertising, promotional materials, spam, or any other form of solicitation;
(e) Manipulating identifiers to disguise the origin of any content transmitted through the Site;
(f) Interfering with or disrupting other users' enjoyment of the Site.
5.5 Professional Misconduct
(a) Engaging in activities that violate real estate professional standards or ethics codes;
(b) Misrepresenting qualifications, licenses, or credentials;
(c) Providing unlicensed real estate, legal, or financial advice;
(d) Discriminating against users based on protected characteristics.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Ownership of Site Content
The Site and its entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, are owned by REALTORres, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2 Trademarks
The REALTORres name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of REALTORres or its affiliates or licensors. You may not use such marks without the prior written permission of REALTORres. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
6.3 Restrictions on Use
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:
(a) Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
(b) You may store files that are automatically cached by your web browser for display enhancement purposes;
(c) You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution;
(d) If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by any applicable end user license agreement for such applications.
6.4 Prohibited Uses of Content
You may not:
(a) Modify copies of any materials from the Site;
(b) Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text;
(c) Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site;
(d) Access or use for any commercial purposes any part of the Site or any services or materials available through the Site.
6.5 Copyright Infringement
REALTORres respects the intellectual property rights of others and expects users to do the same. If you believe that any content on the Site infringes your copyright, please provide our designated copyright agent with written notice containing the following information:
(a) A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest;
(b) A description of the copyrighted work that you claim has been infringed;
(c) A description of where the material that you claim is infringing is located on the Site;
(d) Your address, telephone number, and email address;
(e) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
(f) A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
7. USER CONTENT LICENSE
7.1 User Content Defined
"User Content" means any and all information, materials, and content that you submit, upload, post, transmit, or otherwise make available through the Site, including but not limited to property listings, photographs, videos, descriptions, comments, reviews, messages, and profile information.
7.2 License Grant
By submitting User Content to the Site, you grant REALTORres a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, distribute, and create derivative works of such User Content in any and all media or distribution methods, now known or later developed, for the purposes of operating, promoting, and improving the Site and developing new services.
7.3 Representations and Warranties
You represent and warrant that:
(a) You own or control all rights in and to the User Content and have the right to grant the license granted above to REALTORres;
(b) All of your User Content complies with these Terms and applicable laws;
(c) The User Content does not infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;
(d) Your User Content does not contain any false, inaccurate, or misleading information;
(e) Your User Content does not contain any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material.
7.4 Monitoring and Removal
REALTORres has the right, but not the obligation, to monitor, review, edit, or remove User Content at any time and for any reason, including User Content that violates these Terms, is objectionable, or may create liability for REALTORres. REALTORres does not endorse or guarantee the accuracy, integrity, or quality of User Content.
7.5 No Obligation
REALTORres has no obligation to store, maintain, or provide you with a copy of any User Content. You are solely responsible for creating backup copies of your User Content at your own expense.
7.6 Property Listings
For property listings specifically, you represent and warrant that:
(a) You have the legal right to list the property;
(b) All information provided about the property is accurate, current, and complete;
(c) You have obtained all necessary permissions and releases for any photographs or other materials included in the listing;
(d) The listing complies with all applicable fair housing and anti-discrimination laws;
(e) You will promptly update or remove the listing when the property is no longer available.
8. DISCLAIMERS
8.1 General Disclaimer
THE SITE AND ALL CONTENT, SERVICES, AND PRODUCTS AVAILABLE ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, REALTORRES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 No Warranty of Accuracy
REALTORRES DOES NOT WARRANT THAT:
(a) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
(b) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE;
(c) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS;
(d) ANY ERRORS IN THE SITE OR CONTENT WILL BE CORRECTED;
(e) THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8.3 Property Information Disclaimer
ALL PROPERTY LISTINGS, INFORMATION, DESCRIPTIONS, PHOTOGRAPHS, PRICING, AND OTHER CONTENT RELATED TO REAL ESTATE ON THE SITE ARE SUBJECT TO CHANGE WITHOUT NOTICE AND MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. REALTORRES MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY PROPERTY INFORMATION. PROPERTIES MAY BE SOLD, LEASED, OR WITHDRAWN FROM THE MARKET WITHOUT NOTICE.
Users acknowledge that property information is provided by third parties, including property owners, agents, and brokers, and REALTORres has not independently verified such information. 8.7 User Interactions
REALTORRES IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. REALTORRES RESERVES THE RIGHT, BUT HAS NO OBLIGATION, TO MONITOR OR BECOME INVOLVED IN DISPUTES BETWEEN YOU AND OTHER USERS.
8.8 No Guarantee of Results
REALTORRES DOES NOT GUARANTEE THAT USE OF THE SITE WILL RESULT IN ANY REAL ESTATE TRANSACTIONS, INVESTMENT OPPORTUNITIES, OR FINANCIAL OUTCOMES. ANY DECISIONS MADE BASED ON INFORMATION OBTAINED THROUGH THE SITE ARE MADE AT YOUR OWN RISK.
9. LIMITATION OF LIABILITY
9.1 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REALTORRES, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
(a) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SITE;
(b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES;
(c) ANY CONTENT OBTAINED FROM THE SITE;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT REALTORRES HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
9.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF REALTORRES AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS, FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID TO REALTORRES FOR ACCESS TO AND USE OF THE SITE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.
9.3 Exceptions
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, REALTORRES' LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
9.4 Basis of the Bargain
YOU ACKNOWLEDGE AND AGREE THAT REALTORRES HAS OFFERED ITS SERVICES, SET ITS PRICES, AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE DISCLAIMERS OF WARRANTY AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN, THAT THE DISCLAIMERS OF WARRANTY AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND REALTORRES, AND THAT THE DISCLAIMERS OF WARRANTY AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND REALTORRES.
10. INDEMNIFICATION
10.1 Your Indemnification Obligations
You agree to defend, indemnify, and hold harmless REALTORres, its affiliates, subsidiaries, parent companies, and their respective directors, officers, employees, agents, suppliers, partners, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees and court costs) arising from or relating to:
(a) Your access to or use of the Site;
(b) Your violation of these Terms;
(c) Your violation of any third-party right, including without limitation any copyright, trademark, trade secret, or other property or privacy right;
(d) Any User Content you submit, post, upload, or otherwise make available through the Site;
(e) Your violation of any applicable law, statute, ordinance, or regulation;
(f) Any real estate transaction or business relationship between you and any other user or third party arising from your use of the Site;
(g) Any claim that your User Content caused damage to a third party;
(h) Your negligence or willful misconduct.
10.2 Defense of Claims
REALTORres reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with REALTORres in asserting any available defenses. You will not settle any claim that affects REALTORres without REALTORres' prior written consent.
10.3 Notice
You agree to promptly notify REALTORres of any third-party claims subject to indemnification hereunder. Your failure to provide prompt notice may relieve REALTORres of its obligations under this section only to the extent that such failure materially prejudices REALTORres' ability to defend the claim.
11. ACCOUNT TERMINATION
11.1 Termination by User
You may terminate your account at any time by contacting us at support@realtorres.org and following the account termination procedures. Upon termination, your right to access and use the Site will immediately cease.
11.2 Termination by REALTORres
REALTORres reserves the right to suspend or terminate your account and your access to the Site, in whole or in part, at any time and for any reason, with or without notice, including but not limited to:
(a) Violation of these Terms;
(b) Requests by law enforcement or other government agencies;
(c) Discontinuance or material modification to the Site or any service offered on or through the Site;
(d) Unexpected technical issues or problems;
(e) Extended periods of inactivity;
(f) Engagement in fraudulent or illegal activities;
(g) Nonpayment of any fees owed by you in connection with the Site.
11.3 Effect of Termination
Upon termination of your account for any reason:
(a) Your right to use the Site will immediately cease;
(b) REALTORres may delete your User Content, account information, and any other files or information associated with your account;
(c) You will remain liable for all obligations incurred prior to termination;
(d) All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
11.4 No Refunds
You acknowledge and agree that REALTORres will not be liable to you or any third party for any termination of your access to the Site or deletion of your User Content. Termination of your account does not entitle you to any refund of fees paid.
12. GOVERNING LAW
12.1 Applicable Law
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of Texas and the federal laws of the United States, without regard to their conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
12.2 Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the federal or state courts located in El Paso County, Texas, United States, and you irrevocably consent to the personal jurisdiction and venue of such courts.
12.3 International Users
If you access the Site from outside the United States, you are responsible for compliance with all local laws and regulations, including but not limited to laws regarding online conduct and acceptable content, data privacy, export of data, and the transmission of technical data exported from the United States or the country in which you reside.
13. DISPUTE RESOLUTION
13.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact REALTORres at support@realtorres.org to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site informally. The parties agree to negotiate in good faith for a period of thirty (30) days from the date of initial notice of the dispute.
13.2 Binding Arbitration
If the parties are unable to resolve a dispute through informal negotiations, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
The arbitration shall be conducted in El Paso, Texas, unless the parties mutually agree otherwise. The arbitrator shall apply Texas law consistent with the Federal Arbitration Act. Each party shall bear its own costs and expenses, including attorney's fees, unless the arbitrator determines that one party is the prevailing party, in which case the arbitrator may award reasonable attorney's fees and costs to the prevailing party.
13.3 Class Action Waiver
YOU AND REALTORRES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and REALTORres agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
13.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek equitable relief (including injunctive relief) in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
13.5 Time Limitation
Any arbitration or legal action must be commenced within one (1) year after the claim or cause of action arises. If any claim or cause of action is not filed within one (1) year, it is permanently barred.
14. MODIFICATION OF TERMS
14.1 Right to Modify
REALTORres reserves the right to modify, amend, or update these Terms at any time, in its sole discretion. When we make changes, we will update the "Effective Date" at the top of these Terms and post the revised Terms on the Site.
14.2 Notice of Material Changes
For material changes to these Terms, REALTORres will provide notice by posting a prominent notice on the Site or by sending you an email notification to the email address associated with your account, at least thirty (30) days before the effective date of such changes. What constitutes a material change will be determined by REALTORres in its sole discretion.
14.3 Acceptance of Modified Terms
Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the modified Terms, you must stop using the Site and terminate your account.
14.4 Review Obligation
You are expected to check this page periodically to review the current Terms. Your use of the Site is at all times subject to the Terms posted on the Site at the time of such use.
15. SEVERABILITY
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the invalid, illegal, or unenforceable provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision, and each provision is deemed to be separate, severable, and distinct.
16. WAIVER
No waiver by REALTORres of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by REALTORres to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
17. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any other legal notices or agreements published by REALTORres on the Site, constitute the entire agreement between you and REALTORres concerning your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral, written, or electronic, between you and REALTORres with respect to the Site.
18. ASSIGNMENT
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without the prior written consent of REALTORres. Any attempted assignment, transfer, or delegation without such consent shall be null and void.
REALTORres may freely assign, transfer, or delegate these Terms and its rights and obligations hereunder, in whole or in part, without your consent, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
19. FORCE MAJEURE
REALTORres shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes or shortages of transportation facilities, fuel, energy, labor, or materials.
20. RELATIONSHIP OF PARTIES
Nothing in these Terms creates any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and REALTORres. You have no authority to bind REALTORres in any manner whatsoever.
21. ELECTRONIC COMMUNICATIONS
By using the Site, you consent to receiving electronic communications from REALTORres. These electronic communications may include notices about your account, transactional information, and other information concerning or related to the Site. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
22. EXPORT CONTROLS
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.
